In these Terms and Conditions, the following terms have the meanings set out below:

2. Acceptance of Terms

By using this website or engaging our Services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement under Malaysian law. If you are acting on behalf of a company or other legal entity, you confirm that you have authority to bind that entity.

Use of this website or commencement of an engagement constitutes acceptance of these Terms in their current form.

3. Service Description

pucukadva Advisory provides structured, fixed-scope business advisory engagements for industrial SMEs and owner-led businesses. Our Services are available to firms operating primarily within Malaysia, with a focus on the Klang Valley region.

The three engagement types currently offered are:

We do not offer retainers or open-ended advisory relationships. Each engagement is discrete and governed by a written Engagement Scope.

4. Engagement Terms

4.1 Scope and commencement

All advisory work is governed by a written Engagement Scope agreed before any work begins. The Engagement Scope defines the deliverable, timeline, fee, and access requirements. No work commences and no fee is due until the Engagement Scope has been signed by both parties.

4.2 Client obligations

You agree to provide accurate and complete information relevant to the engagement, make appropriate personnel available for interviews and site visits as required, and respond to reasonable requests for information in a timely manner. Delays caused by late provision of information may extend the engagement timeline without adjustment to the fee.

4.3 Deliverable review

We will share a draft Deliverable before finalising. You have 10 working days from receipt to raise factual corrections or questions. We will address these before issuing the final version.

4.4 Completion

An engagement is considered complete upon delivery of the final Deliverable. No further advisory obligations arise after completion unless a new Engagement Scope is signed.

5. Payment Terms

All fees are stated in Malaysian Ringgit (RM) and are inclusive of applicable taxes unless otherwise stated in the Engagement Scope.

Payment schedule: 50% is due upon signing the Engagement Scope; the remaining 50% is due upon delivery of the final Deliverable, unless alternative terms are agreed in writing.

Accepted payment methods include bank transfer to the account details specified in the Engagement Scope. Invoices unpaid beyond 30 days from the due date may attract late payment interest consistent with Malaysian commercial practice.

5.1 Cancellation

If you cancel an engagement after work has commenced, the initial 50% deposit is non-refundable. If pucukadva Advisory is unable to complete an engagement due to circumstances on our side, we will refund fees paid in respect of work not yet commenced.

6. Confidentiality

We treat all client information as confidential. We do not share client information — including financial data, commercial details, and engagement findings — with third parties except where required by law or agreed in writing with the client.

You agree to treat our Deliverables as confidential and not to disclose them externally without our consent.

Confidentiality obligations survive termination of an engagement indefinitely.

7. Intellectual Property

All content on this website is the property of pucukadva Advisory and may not be reproduced without written consent.

Upon full payment of the engagement fee, we grant you a non-exclusive, non-transferable licence to use the Deliverable for internal business purposes. It may not be published, distributed externally, or used for commercial purposes beyond its intended use without our written consent.

Our methodologies and analytical approaches remain our intellectual property and are not transferred to you as part of any engagement.

8. Disclaimers

Our Services are based on information available at the time of engagement and the professional judgement of our advisors. We do not warrant that findings will be free of error or that implementing recommendations will produce specific commercial outcomes.

Our Deliverables are intended for informational and internal planning purposes only. They do not constitute legal, financial, accounting, or regulatory advice. Where such advice is required, you should engage appropriately qualified professionals.

This website is provided on an "as available" basis without warranties of any kind.

9. Limitation of Liability

To the extent permitted by Malaysian law, our total liability in connection with any engagement shall not exceed the fees paid by you for that specific engagement.

We shall not be liable for any indirect, consequential, or special loss, loss of profit, or loss of business opportunity arising from decisions taken on the basis of our Deliverables.

Nothing in these Terms limits liability for fraud, gross negligence, or wilful misconduct.

10. Indemnification

You agree to indemnify pucukadva Advisory against claims, losses, or damages arising from: your breach of these Terms; inaccurate or incomplete information provided during an engagement; or use of the Deliverable inconsistent with the licence granted under Section 7.

11. Termination

Either party may terminate an engagement by written notice if the other party commits a material breach not remedied within 14 days of written notice.

Upon termination, fees are due in respect of work completed to the date of termination. Sections 6, 7, 8, 9, and 13 survive termination.

12. Website Use

You may use this website for lawful purposes only. You agree not to attempt unauthorised access, introduce malicious code, or disrupt the website's operation.

13. Governing Law and Dispute Resolution

These Terms and any engagement governed by them are subject to and construed in accordance with the laws of Malaysia.

In the event of a dispute, the parties agree to first attempt resolution through informal discussion. If unresolved within 30 days, either party may refer the matter to mediation under the rules of the Malaysian Mediation Centre before commencing formal proceedings.

The courts of Malaysia shall have exclusive jurisdiction over disputes that cannot be resolved by mediation.

We may update these Terms from time to time. The revised Terms will be published on this page with an updated "Last Updated" date. Terms in effect at the start of an active engagement continue to apply to that engagement.
